Sardis Woods Neighborhood Watch Association

Article I – Name and Purpose

Section 1: The name of the association shall be Sardis Woods Neighborhood Watch Association (SWNWA).

Section 2: SWNWA is organized exclusively to promote and maintain a safe and progressive neighborhood. We strive to combat crime, develop strong relationships between the residents, and promote the physical well being of the neighborhood properties.

Article II – Membership

Section 1: Eligibility for membership – All property owners and/or residents of Sardis Woods are considered members.

Section 2: Dues – No dues are required for membership. Mandatory dues are specifically forbidden by the by-laws. The Governing Board (see article 4) may establish voluntary contributions for the funding of approved projects.

Article III – Meetings

Section 1: Biannual meetings, as required by CMPD (to maintain a neighborhood watch status) will be held in the spring and fall.

Section 2: Meetings of designated Block Captains will be held a minimum of six times per year and are open to any member.

Section 3: Dates, times, and locations of the Biannual meetings will be announced through the SWNA website and newsletter.

Section 4: Members present at any properly announced meeting will constitute a quorum.

Article IV – Governing Body

Section 1: The Governing Body of the SWNWA will be comprised of the Block Captains and will be the voting body for the organization.

Section 2: Block Captain membership consists of a resident representing a given section of each street or cul de sac in the SWNWA. A block captain is a voluntary member receiving no compensation.

Section 3: The Executive Board of the Block Captains shall consist of three non-voting members holding the positions of: Chairman, Secretary, and Treasurer. Members are elected by the Block Captains to fill these positions.

Section 4: The Block Captain members at any properly announced meeting shall constitute a quorum.

Section 5: Duties of the Executive Board a) Chairman – the chair shall convene regularly scheduled Block Captain Meetings and biannual meetings or arrange for a member of the Executive Board to preside. b) Secretary – shall be responsible for keeping records of organization actions including overseeing the taking of minutes at all meetings and publishing the same. C) Treasurer – shall be responsible to keep accurate records of all financial matters dealing with the organization and make a report at each Block Captain and Biannual meeting. They shall make financial information available to Board members and residents of Sardis Woods as members on request.

Section 6: Vacancies – in the event of a Block Captain vacancy, the need will be communicated through the Website and Newsletter and any member can apply to fill that vacancy. Filling of the vacancy is subject to the approval of the Block Captains.

Article V – Committees

Section 1: The Governing Body may create committees as needed.

Section 2: Committee membership is open to any member of SWNWA.

Article VI – Amendments

Section 1: These Bylaws may be amended, when necessary, by a 2/3 majority of the Governing Body.

Section 2: Proposed amendments must be submitted to the Secretary for notification to the members of the Governing Board one week prior to the meeting.

Certification

These bylaws were approved at a meeting of the Governing Body by a 2/3 majority vote on February 14, 2010.
